David C. Nolan has been a sole practitioner in Walnut
Creek, California since 1994. Prior to that he was a partner in a large
San Francisco firm specializing in admiralty law, maritime agency regulation,
and general corporate matters for numerous “salt-water” clients, including
cruise lines, steamship conferences, container operators, and vessel
agents. While he continues to practice in the maritime area, he is now
principally involved in business start-ups and giving legal assistance
and advice to local businesses, covering the areas, among others, of:
- Partnership, LLC, Professional, Non-Profit, and
General Corporation creation and documentation
- Negotiating, drafting, and advising on a wide
range of contractual matters, including shareholder agreements, equipment
and real property leases, construction and UCC contracts, independent
contractor and agency agreements, franchises, stock purchases, confidentiality
agreements, local/international sales and distribution agreements
- Buying, selling, and merging businesses,
as well as dissolving them
- Dispute Resolution, including mediation,
arbitration, and litigation in state and federal courts and agencies
